1. I hereby irrevocably assign to CELEBRATE MEDIA GROUP LLC:

(a) my consent to be recorded using any form of media including, but not limited to, sound recordings, videography, and photography.

(b) the exclusive and perpetual right throughout the world, to record, film, tape, video tape, photograph, broadcast (whether by wire, satellite, laser, cable or any other means whatsoever) and otherwise exploit the material in which I am recorded (the “Work”); and

(c) the exclusive and perpetual right throughout the world to reproduce, print, publish and disseminate, in any medium whatsoever, my name, pictures, voice and likeness for the purposes of trade or otherwise including, without limitation, in connection with the exploitation, advertising and publicity of the Work, or any portions thereof.

  1. I understand all right, title and interest in and to the Work (including, without limitation, all worldwide copyrights therein) shall, from the inception of creation, be the sole property of CELEBRATE MEDIA GROUP LLC, free from any claims whatsoever by me and/or any person or entity deriving any rights or interests from me.
  2. CELEBRATE MEDIA GROUP LLC shall have the exclusive rights throughout the world to copyright any of the foregoing in its name as the owner and author thereof and to secure any and all applicable renewals and extensions of such copyright, and solely for the purposes of any applicable copyright law, I shall be deemed to be “working for hire.”
  3. Except as otherwise expressly provided herein, I shall not receive any compensation whatsoever in connection with:

(a) the services and performances rendered by me in connection with or as part of the Work;

(b) the use and exploitation of the Work; or

(c) the exercise of the rights granted to you herein.

  1. It is understood and agreed that, in entering into this agreement, and in rendering my services pursuant hereto, I have, and shall have, the status of an independent contractor and nothing herein contained shall constitute me as your employee or agent. Accordingly, CELEBRATE MEDIA GROUP LLC shall have no obligation to: (a) withhold any monies payable to me hereunder in respect of any taxes, insurance, social security payments or other contributions or payments to or in respect of me, or (a) provide me with any workmen’s compensation, disability or other similar insurance coverage.
  2. This agreement shall be binding on CELEBRATE MEDIA GROUP LLC and me and our respective licensees, successors and assigns. In this connection, the rights herein granted to CELEBRATE MEDIA GROUP LLC shall inure to the benefit of CELEBRATE MEDIA GROUP LLC, its licensees, successors and assigns.
  3. I release CELEBRATE MEDIA GROUP LLC and those acting pursuant to its authority, from liability for any violation of any personal or proprietary right I may have in connection with such use.
  4. In the event a dispute should arise between CELEBRATE MEDIA GROUP LLC and me, Venue shall be proper in Hunt County, Texas.
  5. I have read and fully understand the terms of this release.
